Terms of Service

These Terms of Service ("Terms") govern your use of erpUX, a product of Merutech Limited ("Merutech", "we", "us"). By using erpUX, you agree to these Terms.

1. Service Description

ERPUX is a web-based user interface extension for Oracle ERP Cloud. We design, build, and host custom React applications that connect to your Oracle instance via Oracle REST APIs and display data in modern, interactive interfaces. ERPUX does not store your transactional data.

2. Customer Responsibilities

  • Provide and maintain access to your Oracle ERP Cloud instance
  • Complete the security configuration in Oracle Security Console as guided by our setup wizard
  • Ensure that users accessing ERPUX have appropriate Oracle roles and security assignments
  • Maintain the confidentiality of admin credentials used for initial setup
  • Notify us promptly of any security concerns or unauthorized access

3. Merutech Responsibilities

  • Maintain 99.5% uptime for the ERPUX application (excluding scheduled maintenance)
  • Provide advance notice of planned maintenance windows
  • Respond to support requests within the timeframes specified in your subscription tier
  • Keep the application updated with security patches and improvements
  • Protect stored configuration data with industry-standard encryption

4. Data Ownership

You own all data in your Oracle ERP Cloud instance. Merutech does not claim ownership of any customer data. Since ERPUX does not store transactional data, your data remains entirely within your Oracle environment. Configuration data (certificates, preferences) created in ERPUX is owned by you and can be exported or deleted at your request.

5. Payment Terms

  • Subscription fees are billed monthly or annually as agreed
  • Setup fees are billed upon project commencement
  • Payments are due within 30 days of invoice date
  • Prices may be adjusted with 60 days written notice

6. Termination

  • Either party may terminate with 30 days written notice
  • Upon termination, we will delete all configuration data within 30 days
  • We will provide reasonable assistance to export any configuration data before deletion
  • No refunds for partial months; annual subscriptions are non-refundable after 30 days

7. Limitation of Liability

ERPUX is provided "as is." Merutech's total liability shall not exceed the fees paid by the customer in the 12 months preceding the claim. We are not liable for data accuracy (data is sourced from your Oracle instance), Oracle API availability, or indirect/consequential damages.

8. Intellectual Property

Merutech retains ownership of the ERPUX platform, including all code, design, and technology. Custom extensions built for you are licensed for your use but remain Merutech intellectual property unless otherwise agreed in writing.

9. Governing Law

These Terms are governed by the laws of Thailand. Disputes will be resolved through good-faith negotiation, followed by arbitration if necessary.
